1. Agreement to Terms

By accessing or using Korexify's services, you agree to be bound by these Terms and Conditions. If you disagree with any part of these terms, you may not access our services.

2. Services

Korexify provides e-commerce solutions including, but not limited to:

• Shopify store design and development
• E-commerce UI/UX and performance optimization
• Email and SMS marketing automation
• Social media management and content creation
• Branding and creative direction
• Paid advertising management
• Conversion rate optimization
• Full-store operations and management

Specific deliverables, timelines, and pricing are outlined in individual service agreements or proposals.

3. Client Responsibilities

Clients agree to:

• Provide accurate, complete, and timely information necessary for project completion
• Grant access to required platforms, tools, and accounts
• Respond to communications and requests within reasonable timeframes
• Review and approve deliverables within agreed-upon timelines
• Make timely payments as specified in the service agreement

4. Intellectual Property

Client Materials

Clients retain ownership of all content, materials, logos, and branding provided to Korexify. By providing these materials, clients grant Korexify a non-exclusive license to use them solely for project delivery.

Deliverables

Upon full payment, clients receive ownership of custom work created specifically for their project, excluding any third-party templates, plugins, or tools. Korexify retains the right to use completed projects in our portfolio and marketing materials unless otherwise agreed in writing.

5. Payment Terms

• Project-based services typically require 50% payment upfront and 50% upon completion
• Monthly retainer services are invoiced at the beginning of each billing cycle
• Late payments may result in service suspension or termination
• All fees are non-refundable except as specified in our Refund Policy

6. Revisions and Changes

Each package includes a specified number of revision rounds. Additional revisions beyond the agreed scope may incur extra charges. Major scope changes will require a new proposal and additional fees.

7. Timelines and Delays

Korexify makes every effort to meet agreed-upon timelines. However, timelines may be extended due to client delays in providing materials, feedback, or approvals. We are not liable for delays caused by third-party services, platform issues, or circumstances beyond our control.

8. Limitation of Liability

Korexify shall not be liable for any indirect, incidental, special, or consequential damages arising from the use or inability to use our services. Our total liability shall not exceed the amount paid for the specific service in question.

9. Termination

Either party may terminate services under the following conditions:

• For project-based work: termination before completion may result in forfeiture of deposits and payment for work completed to date
• For monthly services: either party may terminate with 30 days' written notice
• Immediate termination may occur for breach of terms, non-payment, or unethical conduct

10. Confidentiality

Both parties agree to keep confidential any proprietary information shared during the course of the engagement. This obligation survives termination of the service agreement.

11. Warranties and Disclaimers

Korexify provides services "as is" and makes no guarantees regarding specific business outcomes, sales figures, or ROI. While we strive for excellence, results may vary based on numerous factors outside our control.

12. Governing Law

These terms shall be governed by and construed in accordance with applicable laws. Any disputes shall be resolved through good-faith negotiation or, if necessary, binding arbitration.

13. Changes to Terms

Korexify reserves the right to modify these terms at any time. Continued use of our services after changes constitutes acceptance of the updated terms.
